Terms and Conditions

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Virtual Doctors Limited (“Virtual Doctors”, “we”, “us”, or “our”), a company registered in Nigeria, governing your access to and use of our website (www.virtualdoctors.com.ng), mobile application, medical kiosks, telehealth platform, and all related services (collectively, the “Platform”).

1. Introduction

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Virtual Doctors Limited (“Virtual Doctors”, “we”, “us”, or “our”), a company registered in Nigeria, governing your access to and use of our website (www.virtualdoctors.com.ng), mobile application, medical kiosks, telehealth platform, and all related services (collectively, the “Platform”).


Virtual Doctors is a technology platform provider and not a healthcare provider. We facilitate connections between patients and independent, licensed healthcare professionals (“Providers” or “Doctors”). The doctor-patient relationship exists exclusively between you and the Provider. Virtual Doctors does not practice medicine, provide medical advice, or control clinical decisions.


By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.


2. Eligibility

- You must be at least 18 years of age to register and use the Platform independently.

- Minors under 18 may only use the Platform under the supervision and with the verifiable consent of a parent or legal guardian.

- You must be physically located in a jurisdiction where telehealth services are legally permitted via the Platform.


3. Telehealth Services and Limitations

- The Platform is not intended for emergency medical situations. In any emergency, immediately call 112 or proceed to the nearest hospital.

- Telehealth consultations have inherent limitations and may not be suitable for all medical conditions. Providers may determine that an in-person visit is necessary.

- You are solely responsible for providing complete, accurate, and truthful health information, medical history, symptoms, diagnostic reports, laboratory results, and any other relevant data.


Important Liability Disclaimer on Patient Information and Compliance:


You expressly acknowledge and agree that neither Virtual Doctors nor any Provider shall be liable for any misdiagnosis, incorrect treatment recommendation, adverse reaction, complication, injury, or any other negative outcome that arises from or is connected to:


- Your provision of inaccurate, incomplete, false, or misleading health information, medical history, symptoms, or diagnostic/test results;

- Any failure by you to disclose material information relevant to your care;

- Your failure to follow the Provider’s instructions, prescriptions, treatment plans, or recommendations, including but not limited to dosage, frequency, duration, or follow-up care;

- Your misuse or non-use of prescribed medications or treatments.


You assume full responsibility for the accuracy of all information you provide and for strictly complying with all medical advice and prescriptions received through the Platform.


4. Patient/User Obligations

- You certify that you are not seeking services for emergency conditions.

- You agree to use the Platform only for lawful purposes and in compliance with all applicable laws.

- You shall not misuse the Platform, harass Providers, or engage in fraudulent activity.

- You are responsible for all equipment, internet connectivity, and technical requirements needed for consultations.


5. Healthcare Providers (Doctors) Terms

In addition to the general Terms, Providers agree to the following:


- You are an independent contractor, not an employee or agent of Virtual Doctors.

- You are solely responsible for your professional conduct, clinical decisions, compliance with your licensing board (e.g., Medical and Dental Council of Nigeria), ethical standards, and all applicable laws.

- You must maintain valid professional licenses and adequate professional indemnity insurance.

- You shall not cancel confirmed appointments with less than 24 hours’ notice without valid reason.

- You must keep all patient records exclusively within the secure Virtual Doctors platform and shall not export, copy, or disclose patient data except as authorized by law or the patient.


Revenue Share: Providers receive 70% of the consultation fee after payment gateway charges. Virtual Doctors retains the balance as platform fees and remits payment weekly.


6. Payments and Refunds

- All fees are due at the time of booking.

- Payments are generally non-refundable, except where required by law or at Virtual Doctors’ sole discretion.

- Cancellation less than 24 hours before a scheduled appointment may incur full or partial charges.


7. Intellectual Property

All content, software, logos, trademarks, and materials on the Platform are the exclusive property of Virtual Doctors Limited or its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license for personal, non-commercial use only.


8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Platform, you consent to the collection, processing, storage, and transfer of your personal and health data as described in the Privacy Policy.


9. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VIRTUAL DOCTORS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.


We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or harmful components. Virtual Doctors is not responsible for any acts or omissions of independent Providers.


10. Limitation of Liability

To the fullest extent permitted by Nigerian law and international best practices for telehealth services, in no event shall Virtual Doctors Limited, its directors, officers, employees, agents, or affiliates be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages (including but not limited to damages for loss of profits, data, goodwill, or health outcomes) arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.


Our maximum aggregate liability shall not exceed the total amount paid by you to Virtual Doctors in the twelve (12) months preceding the claim.


11. Indemnification

You agree to indemnify, defend, and hold harmless Virtual Doctors Limited, its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

- Your breach of these Terms;

- Your provision of inaccurate or incomplete health information;

- Your non-compliance with prescribed treatment or medication;

- Your violation of any law or third-party rights;

- Any malpractice or professional liability claim related to services provided by independent Providers (for Providers).


12. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason. You may terminate your account at any time via the app or by contacting us.


13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Platform. Your continued use after such changes constitutes acceptance of the revised Terms.


14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be attempted to be resolved amicably. Failing that, disputes shall be resolved through arbitration in Lagos under the Rules of the Lagos Court of Arbitration, or by the competent courts in Lagos, Nigeria.


15. General

- These Terms constitute the entire agreement between you and Virtual Doctors.

- If any provision is held invalid, the remaining provisions remain in full force.

- Our failure to enforce any right does not constitute a waiver.
